Demant seeks to hire an experienced generalist attorney with 5+ years of experience to join its expanding business.  The role requires practical, timely advice on a broad spectrum of legal issues such as employment issues, compliance, litigation, strategic transactions including M&A, contract negotiation and drafting, and any other topics needed by the business.  The new hire will be part of a successful legal team, reporting to the Head of US Legal, and will use their legal skills to contribute to the operations of the business.

Responsibilities

The ideal candidate will:

  • Have a minimum of 5 years of experience handling a broad spectrum of legal issues at a major law firm and/or a similar in-house environment;
  • Have experience negotiating and private M&A transactions, ideally within the health care sector;
  • Draft, review, and negotiate all transaction documents, including M&A documents, purchase agreements, joint venture agreements, disclosure schedules, and related ancillary agreements;
  • Manage the review of pre-deal documentation including letters of intent and non-disclosure agreements;
  • Coordinate the efforts of the internal legal and risk due diligence teams, working closely with other stakeholders to complete transactions;
  • Distill and report on due diligence findings and make risk judgments in the context of the particular transaction, including judgments on identifying risks to escalate and ensure consistency in approach across transactions with respect to acceptable deal terms and consistent risk tolerances;
  • Execute closings including coordinating post-closing purchase price adjustments and other reviews, post-closing integration, and monitor identified strategic/transactional risks;
  • Be able to manage litigation internally, as well as manage outside counsel;
  • Have strong relationship management skills and the ability to build and maintain productive relationships with leaders of other functional areas across the business to seek alignment on deal objectives for the benefit of Demant;
  • Be able to prepare, negotiate, review and revise numerous commercial and operational contracts;
  • Function successfully in a highly visible and challenging position;
  • Be energetic, engaged and able to demonstrate past examples of taking a proactive, innovative approach in the management of legal issues;
  • Be a team-player who can lead internal projects and initiatives;
  • Be able to weigh legal risk against business needs and realities, and making decisions based on sound judgment;
  • Have the ability to work independently alongside business stakeholders and coordinate all aspects of multiple transactions simultaneously;
  • Have the ability to prioritize and meet deadlines in a fast-paced, high volume, frequently changing environment;
  • Display the highest level of ethical conduct and integrity;
  • Develop creative and compliant solutions to assist in resolving complicated issues; and
  • Health care industry background is preferred.

Qualifications

  • A law degree from an accredited U.S. Law School and a member of the PA, NJ or NY bar, and if from outside NJ, have the ability to obtain registration as an in-house counsel in NJ within three months of employment.
  • Have a minimum of 5 years of experience as a generalist;
  • Must have high energy, engaged and have demonstrated that he/she is a hands-on attorney, proactive and innovative in counseling and litigation practice;
  • A keen ability to provide practical advice by weighing legal risk against business needs and realities;
  • Must be comfortable and efficient in high paced environment;
  • Must be hardworking, team-oriented and possess the ability to think creatively and efficiently in resolving business issues; and
  • Must make decisions based on sound judgment and display the highest level of ethical conduct and integrity.
