Demant seeks to hire an experienced transactional attorney with a minimum of 4 years of experience to join its expanding business.  The role requires practical, timely assistance with general corporate matters and commercial transactions, including mergers and acquisitions.  The new hire will be part of a successful legal team, reporting to Senior Legal Counsel, and will use their legal skills to contribute to the operations of the business.

Responsibilities

The ideal candidate will:

  • Have experience handling general corporate matters, commercial contracts, and services agreements at a law firm and/or in-house environment;
  • Draft, review, and negotiate a variety of transaction documents, including master services agreements, statements of work, sales agreements, software licensing agreements, joint venture agreements, and related agreements;
  • Have experience assisting with or negotiating M&A transactions, ideally within the health care and/or technology sector;
  • Coordinate the efforts of the internal legal teams and work closely with other stakeholders to complete transactions;
  • Have strong relationship management skills and the ability to build and maintain productive relationships with leaders of other functional areas across the business to seek alignment on deal objectives for the benefit of Demant;
  • Be able to prepare, negotiate, review and revise a high volume of commercial and operational contracts;
  • Function successfully in a highly visible and challenging position;
  • Be energetic, engaged and able to demonstrate past examples of taking a proactive, innovative approach in the management of legal issues;
  • Be a team-player who can lead internal projects and initiatives;
  • Be able to weigh legal risk against business needs and realities, and making decisions based on sound judgment;
  • Have the ability to work independently alongside business stakeholders and coordinate all aspects of multiple transactions simultaneously;
  • Have the ability to prioritize and meet deadlines in a fast-paced, high volume, frequently changing environment;
  • Display the highest level of ethical conduct and integrity; and
  • Develop creative and compliant solutions to assist in resolving complicated issues.

Qualifications

  • A law degree from an accredited U.S. Law School and a member of the PA, NJ or NY bar, and if from outside NJ, have the ability to obtain registration as an in-house counsel in NJ within three months of employment.
  • A minimum of 4 years of experience.
  • Must have high energy, engaged and have demonstrated that he/she is a hands-on attorney, proactive and innovative in counseling and litigation practice.
  • A keen ability to provide practical advice by weighing legal risk against business needs and realities.
  • Must be comfortable and efficient in high paced environment.
